Welcome to Ordinote. These Terms and Conditions ("Terms") govern your use of Ordinote (the "Service"), a software-as-a-service (SaaS) platform provided by ArchiusComus ("we", "us", or "our").
By accessing or using Ordinote, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account or using Ordinote, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
2. Description of Service
Ordinote is a visual note-taking and file organization platform that allows you to:
- Create and organize notes and cards in a multi-dimensional workspace
- Attach files and links to your content
- Filter and organize information across up to 8 custom dimensions
- Collaborate with teams (on applicable plans)
- Access your content across multiple devices
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 13 years old to use Ordinote. By creating an account, you represent and warrant that:
- You are at least 13 years of age
- You have the legal capacity to enter into these Terms
- All information you provide is accurate and complete
- You will maintain the accuracy of your account information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We will not be liable for any loss or damage arising from your failure to maintain account security.
4. Ownership of Content
You own your content. All notes, files, and data you create in Ordinote remain your property. We claim no ownership rights over your content.
4.1 Your Content
You retain all intellectual property rights in the content you create, upload, or store in Ordinote. By using the Service, you grant us only the limited rights necessary to:
- Store your content on our servers
- Display your content back to you
- Create backups for data protection and disaster recovery
- Process your content to provide the Service features (search, filtering, etc.)
4.2 Our Intellectual Property
The Service itself, including all software, designs, text, graphics, logos, and other materials (excluding your content), is owned by ArchiusComus and protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute the Service or its components
- Reverse engineer or attempt to extract source code
- Remove any copyright or proprietary notices
- Use our trademarks without permission
5. Acceptable Use Policy
5.1 Lawful Use Only
You agree to use Ordinote only for lawful purposes. You are solely responsible for ensuring your use complies with all applicable laws and regulations.
5.2 Prohibited Activities
You may not use Ordinote to:
- Store, share, or distribute illegal content
- Violate any intellectual property rights
- Harass, threaten, or harm others
- Distribute malware, viruses, or harmful code
- Engage in fraudulent or deceptive activities
- Spam or send unsolicited communications
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with the Service's operation or infrastructure
- Scrape, crawl, or systematically extract data without permission
- Use the Service for any purpose that is illegal, harmful, or abusive
5.3 Content Responsibility
You are solely responsible for:
- The content you create, upload, or share
- Ensuring you have the necessary rights to use any content
- Compliance with all applicable laws regarding your content
- Any consequences arising from your content or actions
5.4 Enforcement
We reserve the right to:
- Remove content that violates these Terms
- Suspend or terminate accounts that engage in prohibited activities
- Report illegal activities to law enforcement
- Take legal action against users who violate these Terms
6. Subscription Plans and Billing
6.1 Available Plans
Ordinote offers multiple subscription tiers:
- Personal (Free): Basic features with limitations
- Plus (5 €/user/month): Enhanced features including encryption
- Team (9 €/user/month): Collaboration features for teams
- Enterprise: Custom pricing and features

6.2 Billing
For paid subscriptions:
- Billing is recurring (monthly or annually as selected)
- Charges are made in advance for the upcoming billing period
- All fees are in USD unless otherwise stated
- Fees are non-refundable except as required by law
6.3 Changes to Pricing
We may change our pricing at any time. For existing subscribers:
- We will provide at least 30 days' notice of price increases
- New pricing will apply at your next renewal
- You may cancel before the new pricing takes effect
6.4 Cancellation
You may cancel your subscription at any time:
- Cancellation takes effect at the end of your current billing period
- You will retain access until the end of the paid period
- No refunds are provided for partial periods
- You may downgrade to the free Personal plan
7. Service Availability and Modifications
7.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we'll provide notice when possible)
- Technical issues or outages
- Force majeure events
- Third-party service failures
7.2 Service Modifications
We reserve the right to:
- Modify, update, or discontinue features
- Add or remove functionality
- Change the Service's appearance or operation
We will make reasonable efforts to notify you of significant changes.
8. Data and Backups
8.1 Our Responsibility
We implement reasonable measures to protect and back up your data, including:
- Regular automated backups
- Data redundancy across availability zones
- Security measures to prevent unauthorized access
8.2 Your Responsibility
You are responsible for:
- Maintaining your own backups of critical content
- Regularly exporting your data if desired
- Understanding that we cannot guarantee against all data loss scenarios
Important: While we take data protection seriously, you should maintain your own backups of important content. We are not liable for data loss.
9. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Merchantability: The Service is fit for any particular purpose
- Non-infringement: The Service does not violate third-party rights
- Accuracy: The Service is error-free or reliable
- Availability: The Service will be uninterrupted or secure
- Results: The Service will meet your requirements or expectations
You use the Service at your own risk. We make no guarantees about:
- Data accuracy, completeness, or reliability
- Service performance or uptime
- Compatibility with your systems or devices
- Absence of bugs, errors, or security vulnerabilities
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHIUSCOMUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
This includes but is not limited to damages arising from:
- Use or inability to use the Service
- Data loss or corruption
- Service interruptions or errors
- Unauthorized access to your account
- Third-party actions or content
- Any other matter relating to the Service
Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or 100 €, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless ArchiusComus, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
- Your use of the Service
- Your content or data
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in settings, or
- Contacting us at privacy.ordinote@archiuscomus.com
12.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- Your account is inactive for an extended period
- We are required by law to do so
- You engage in fraudulent or abusive behavior
- We cease offering the Service
We will provide reasonable notice before termination unless:
- Immediate termination is necessary for security or legal reasons
- Your actions pose a risk to the Service or other users
12.3 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- Your data will be deleted within 30 days
- You remain responsible for any fees owed
- Sections of these Terms that should survive will continue to apply

15. Export Compliance
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not:
- Located in a country subject to a U.S. Government embargo
- Listed on any U.S. Government list of prohibited or restricted parties
16. Dispute Resolution and Governing Law
16.1 Governing Law
These Terms are governed by the laws of Finland, without regard to conflict of law principles.
16.2 Disputes
Any disputes arising from these Terms or the Service shall be resolved through:

- Mediation: If informal resolution fails, we agree to attempt mediation
- Arbitration or Court: If mediation fails, disputes will be resolved by binding arbitration or in the courts of Finland
16.3 Class Action Waiver
You agree that any disputes will be resolved on an individual basis. You waive any right to participate in class actions or class arbitrations.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ArchiusComus regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
17.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
17.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, or internet outages.
17.6 No Partnership
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and ArchiusComus.
